The In's and Outs of Consulting, Part II -- Dealing with an Onerous Contract
You've met with the client, discussed the project, and finally convinced them to give you the job.
You hand them your short and simple contract to sign and they inform you that you have to use their contract. It's over a dozen pages long and filled with "boilerplate legalese". Your new found client is a huge multimillion dollar enterprise and you think there is no way they will negotiate with your little one man shop.
Do you blindly sign the contract and hope for the best?
These and other issues will be explored. Using real world contracts, we will show you some of the more onerous clauses found in contracts. These are the clauses that could potentially cause you to end up a loser in the deal.
We'll discuss topics such as:
What is the "Risk Footprint" of the contract?
Intellectual Property (IP) issues
Hold harmless clauses
Third party claims
Non-disclosure agreements
Restrictions on your ability to recover damages
Negotiation tips including how to get even large companies to consider contract changes.
